Public offer to provide services for converting a website into a mobile application

This document is an official offer from the Converzilla service and contains all essential conditions for the provision of services for converting a website into a mobile application.

1. General Provisions

1.1. This offer is a public proposal from Converzilla to conclude an agreement on the terms specified below with any legal or physical person, hereinafter referred to as the "Customer", who accepts this offer.

1.2. Full and unconditional acceptance (acceptance) of the terms of this offer is the Customer's prepayment for the services or their explicit consent to begin the conversion process via messenger, email, or other means.

1.3. The offer is valid from the moment of its publication on the website and until it is revoked.

2. Procedure for Accepting the Offer

2.1. To accept this offer, the Customer must pay for the services as specified in section 4, or provide their consent in any form where the intention and agreement are clearly expressed.

2.2. From the moment payment is received or consent is given, the offer is considered accepted and the agreement concluded.

3. Subject of the Offer

3.1. Converzilla undertakes to provide services for converting the Customer's mobile website into a mobile application for iOS and Android platforms, supporting portrait screen orientation.

3.2. Additional services not included in this offer (support, design, modifications, etc.) are paid separately.

4. Cost of Services and Payment Procedure

4.1. Service pricing is available on site and may vary depending on platform and country.

4.2. Payment is accepted in national currency or USD.

4.3. Payment is made by bank transfer or card. The payment date is the date the funds are received.

4.4. Payment is due within 3 business days after the application is published in the App Store and Google Play.

4.5. If justified issues with the application cannot be resolved, and they are not caused by the Customer's refusal to modify the site, the Customer may decline to pay. In that case, the applications will be removed from the stores.

4.6. If technical or other reasons prevent the conversion, no payment is required.

5. Terms of Service

5.1. Services are provided within 15 business days after acceptance and receiving necessary access and information from the Customer.

5.2. Services are considered completed upon publication of the app in the App Store and Google Play.

6. Obligations of the Parties

6.1. Converzilla undertakes to:

  • Create Android and iOS apps displaying the Customer’s mobile site via WebView;
  • Implement native features like push notifications, analytics integration, and a splash screen;
  • Ensure publication of the apps in the stores;
  • Maintain confidentiality of the Customer’s data.

6.2. The Customer undertakes to:

  • Pay on time and in full;
  • Provide all necessary access and content;
  • Ensure their website meets moderation requirements for app stores.

7. Exclusive Rights

7.1. The Customer receives exclusive rights to the application after full payment.

7.2. Converzilla may use the app as a portfolio example.

8. Liability

8.1. The parties are responsible for failing to fulfill their obligations.

8.2. Converzilla is not responsible if conversion is technically impossible.

8.3. The Customer is responsible for providing incorrect or incomplete data.

9. Warranties and Limitations

9.1. Converzilla is not responsible for:

  • Delays caused by the Customer;
  • Lack of access or incorrect information;
  • Indirect losses, with total liability limited to 10% of the service cost.

10. Dispute Resolution

10.1. Disputes shall be resolved through negotiations.

10.2. If unresolved, disputes are subject to court at Converzilla’s location.

11. Final Provisions

11.1. This offer is effective from acceptance until obligations are fulfilled.

11.2. Rights and obligations may not be transferred without consent.

11.3. Amendments must be in writing and signed by both parties.

11.4. Termination is possible by mutual agreement or under this offer's terms.

12. Consent to Personal Data Processing

12.1. The Customer consents to data processing for service provision.

13. Transfer of Rights and Responsibility

13.1. After publication, the Customer becomes the app owner.

13.2. Converzilla is not responsible for app operation after transfer.

14. Technical Support

14.1. Optional technical support may include:

  • App updates and maintenance;
  • Adapting to store policy changes.

14.2. Support costs are quoted separately.

14.3. Support is provided under a separate agreement.
